1. Acceptance of Terms

Welcome to Hotdrop, an AI-powered content optimization platform operated by Ampium LLC ("Ampium," "we," "us," or "our"), a Pennsylvania limited liability company with its principal place of business at 1085 Herkness Drive, Meadowbrook, PA 19046.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Ampium LLC governing your access to and use of the Hotdrop platform, including the website, applications, and all related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years old to use the Service. By using Hotdrop, you represent and warrant that you are 18 years of age or older.

2.2 Geographic Restrictions

While Hotdrop is available globally, we do not offer paid products or services to users located in countries subject to U.S. trade sanctions, including but not limited to:

• Cuba
• Iran
• North Korea
• Syria
• The Crimea, Donetsk, and Luhansk regions of Ukraine

Users in these regions may not create accounts or access the Service.

2.3 Legal Capacity

You represent that you have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing accurate and complete information, including a valid email address.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for losses resulting from unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4. Service Description

4.1 Features

Hotdrop provides AI-powered tools for optimizing and generating content for LinkedIn and email, including:

• LinkedIn Tools: Smart Comments, Better Post, Generate Post, Image Generator
• Email Tools: Optimize Email, Generate Email, Reply Coach

4.2 AI Processing

The Service uses third-party AI models, including Google Gemini and OpenAI models, to process your content and generate outputs. By submitting content to the Service, you authorize us to transmit your content to these AI providers for processing.

4.3 Beta and Preview Features

Certain features may be designated as "beta," "preview," or "experimental." These features:

• Are provided "AS-IS" without warranties
• May be changed, limited, or discontinued at any time without notice
• May have reduced functionality or increased error rates
• Are excluded from any indemnification obligations we may offer for standard services

Use of beta features is at your sole risk.

5. Subscription Plans and Credits

5.1 Plans

Hotdrop offers:

• Free Plans: Limited features and credits
• Paid Subscription Plans: Access to additional features and monthly credit allocations

5.2 Credit System

Most actions on the Service consume credits. Credit costs are displayed before each action. Credits:

• Are allocated monthly based on your subscription plan
• May roll over to the next month (subject to caps defined in your plan)
• Are non-refundable and have no cash value
• May be adjusted or refunded by us in cases of technical errors

5.3 Payment Terms

• Billing: Paid subscriptions are billed monthly or annually, as selected
• Payment Processor: Payments are processed by a third-party provider. We do not store full payment card details
• Automatic Renewal: Subscriptions automatically renew unless you cancel before the renewal date
• Taxes: You are responsible for all applicable taxes
• Price Changes: We may change pricing with at least 30 days' notice

5.4 Refunds

We do not offer refunds for unused credits or partial subscription periods, except as required by law or at our sole discretion.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful purposes. You agree not to:

• Submit content that is illegal, fraudulent, defamatory, obscene, harassing, threatening, or hateful
• Submit content that infringes intellectual property rights or privacy rights of third parties
• Use the Service to spam, phish, or send unsolicited communications
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated tools (bots, scrapers) to access the Service without authorization
• Circumvent usage limits, credit systems, or security measures
• Use the Service to generate content for illegal purposes, including fraud or misinformation campaigns

6.2 Enforcement

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

7. Intellectual Property Rights

7.1 Your Content

You retain all ownership rights to the content you submit to the Service. By submitting content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely to provide and improve the Service.

7.2 AI-Generated Outputs

Ownership: You own the AI-generated outputs produced by the Service based on your content, subject to these Terms.

No Warranty of Originality: AI-generated content may not be unique. Other users may receive similar outputs. We do not guarantee that outputs are free from third-party intellectual property claims.

7.3 Hotdrop's Intellectual Property

The Service, including its design, code, trademarks, logos, and documentation, is owned by Ampium LLC and protected by copyright, trademark, and other intellectual property laws.

8. Disclaimers and Warranties

8.1 "AS-IS" Service

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

8.2 AI Output Disclaimer

AI-generated content may contain errors, biases, inaccuracies, or inappropriate material. You acknowledge and agree that:

• You are solely responsible for reviewing, verifying, and using AI-generated outputs
• Outputs are not a substitute for professional advice (legal, financial, medical, or otherwise)
• You will not rely solely on AI outputs for critical decisions
• We are not liable for any consequences resulting from your use of AI-generated content

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPIUM LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or exemplary damages, including lost profits, loss of data, damage to reputation, or cost of substitute services
• Damages arising from your use or inability to use the Service
• AI-generated outputs or any reliance thereon
• Unauthorized access to your account or data
• Beta or preview features

9.2 Liability Cap

Our total liability to you for all claims shall not exceed the greater of $100 USD or the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ampium LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or AI-generated outputs
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or any representations you make

11. Dispute Resolution and Arbitration

11.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

11.2 Mandatory Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved exclusively through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Pennsylvania.

11.3 Class Action Waiver

YOU AND AMPIUM LLC AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

12. Modifications to the Service and Terms

We may modify, suspend, or discontinue any aspect of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will notify you via email or in-app notification and provide a reasonable notice period (typically 30 days).

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
